  1. Eligibility: The “Cisco ARM Service Incentive Program” Contest (“Contest”) is sponsored by Cisco Systems Inc. (“Sponsor”) and is open only to sales staff employees of Cisco Distributors, Indirect Registered Premier, Silver or Gold partners which purchase from an authorized Canadian Cisco Distributor, and Regional Direct Value Added Resellers which purchase direct from Cisco who are residence of Canada, who are eighteen (18) years of age or older at the time of entry, who enter with his/her employer’s permission, who have registered on the Cisco ARM Service Incentive Program website at www.cisco.com/web/CA/go/arm and received an email confirmation of Partner’s eligibility to participate (“Entrant”). All others are ineligible to enter and will be disqualified. Employees of Cisco Systems Inc. and related companies as well as immediate family members (employees, spouse, domestic partner, mother, father, grandmother, grandfather, children, siblings and their spouses) and individuals living in the same household of those employees, whether related or not, are not eligible to participate. All Participants, including without limitation federal, provincial, and local government organizations, are responsible for compliance with any contractual limitations and/or office policies, if any, regarding participation or prizes acceptance in the Contest.

  2. Sponsor: The Contest is sponsored by Cisco Systems Inc. (“Sponsor”), located at 170 West Tasman Drive, San Jose, CA 95134.

  3. Promotional Period: The Contest begins on or about 8:00:01 am (PT) on May 1, 2007 and ends on or about 5:59:59 pm (PT) on July 31, 2007.

  4. To Enter: To enter during the Promotional Period, take Quiz 1 and if you would like, Quiz 2 (individually a “Quiz” and collectively “Quizzes”) on the Cisco ARM Services Incentive Program website. Both Quizzes have a total of ten (10) questions. You can take one or both Quizzes but your chances of winning the Contest increases by taking both. Upon taking and submitting a Quiz (a “Submission”), you will be notified as to how many correct answers you received on that Submission. You receive one Contest entry for each correct answer per Quiz, up to a maximum of twenty (20) entries. During the Promotion Period, you can make as many Submissions for both Quiz 1 and Quiz 2 as you would like to try to increase your entries, up to the maximum.

    Once the Promotional Period has ended but prior to the drawing, all of the Submission for Quiz 1, if any, and for Quiz 2, if any, will be assessed to determine the Submission for each Quiz with the highest number of correct answers (“Qualifying Submission”, or if both Quizzes are taken, “Qualifying Submissions”) . You can have only one (1) Qualifying Submission for Quiz 1, and only one (1) Qualifying Submission for Quiz 2, for a total of two (2) Qualifying Submissions. Your total entries will then be calculated and you will receive one (1) Contest entry for each correct answer on a Qualifying Submission. So, for example, if your Qualifying Submission for Quiz 1 has eight (8) correct answers, and you did not take Quiz 2, you will receive a total of eight (8) Contest entries and if your Qualifying Submission for Quiz 1 has five (5) correct answers and your Qualifying Submission for Quiz 2 has ten (10) correct answers, you will receive a total of fifteen (15) Contest entries. You can receive up to ten (10) Contest entries per Qualifying Submission for a maximum of twenty (20) Contest entries. Internet access is required to enter. Entrants assume all risk of damage, lost, late, incomplete, misdirected or illegible entries. All entries submitted become the sole property of Sponsor and will not be returned.

  5. Drawing: Ten (10) random drawings from all eligible Contest entries will be held on or about ten (10) days after the end of the promotion period. Entrants agree to be bound by these Complete Official Rules and the decisions of the Sponsor.

  6. Prize (10): Each Contest winner will be given the choice of one (1) of the following prizes: Nintendo Wii Console – SRP $280: OR Sony's NWA808B Walkman Video MP3 Player with 8GB Memory – Black NWA808B - SRP $299 ; OR Fitness GPS – SRP $269. Odds of winning a prize will depend on the number of eligible entries received for that applicable drawing during the Contest Period. The total retail value of all prizes awarded will depend on the prizes selected by the winners. Limit one (1) prize per person. Potential winners must indicate a first, second and third choice of prize from the prizes in their applicable prize category above. Winners are responsible for any fees, costs, service charges, installation charges, support charges, accessories and all other incidental costs or expenses not identified as included in these Official Rules. Prizes are not transferable in whole or in part. No cash or prize substitutions in whole or in part, except the Sponsor reserves the right to substitute prizes of comparable value in the event that any of the listed prizes become unavailable. Each winner is solely responsible for the reporting and payment of any federal, provincial or local taxes, and any other taxes, fees and costs connected with their prize.

  7. General Conditions: Potential winners will be notified by e-mail or telephone (at Sponsor’s or its fulfillment house’s discretion using the information provided on the registration form) within thirty (30) business days of the drawing. In order to win, potential winners must have complied with these Official Rules and must complete an Affidavit of Eligibility and Release of Liability/Publicity (“Affidavit”), and must correctly answer a time limited mathematical skill-testing question. The Affidavit must be completed in full and returned within ten (10) business days of the date the Affidavit is postmarked (if sent via mail), or the date the e-mail was sent (if sent by e-mail). Upon receipt of the Affidavit, Sponsor will make reasonable efforts to comply with winner’s prize selection in the order of desirability, but makes no representation and cannot guarantee that any prize will be fulfilled in the order of winner’s selection. In the event none of the selected prizes are available, Sponsor reserves the right to substitute a prize of equal or greater value. Within four (4) to six (6) weeks of receiving the all 10, signed Affidavits, the prize will be shipped to the winner. In the event any selected entrant fails to comply with these Contest rules; if he/she cannot be reached via the contact information provided on the entry form; if the prize notification is returned as unclaimed or undeliverable; if the Affidavit is not signed by the selected entrant and received by Sponsor within the specified timeframe; or if the prize is returned as unclaimed or undeliverable, the prize will be forfeited and an alternate entrant will be selected.

    Participation in this Contest constitutes permission to use, adapt, modify and display in any and all media now known (including the world wide web and Internet) or hereinafter developed the entrant’s name, likeness, biographical information and photo for trade, promotional and publicity purposes without notice and at no additional compensation, unless prohibited by law, and entrant’s agree to confirm such grant in writing. Submission of an entry grants Sponsor and its agents the right to reproduce, publish, use, edit, adapt and/or modify the Contest registration, quiz responses, and entry information in any way, in any and all media, without limitation and without compensation to the entrant.

    Sponsor is not responsible for human error, theft, loss, destruction, or damage to entries, or other factors beyond its reasonable control. Persons found tampering with or abusing any aspect of this Contest, as solely determined by Sponsor, will be disqualified. By participating and accepting a prize, winners release and agree to hold harmless the Sponsor and its agents and contractors from any and all existing or future claims, actions and liabilities of whatever nature for any injuries including, but not limited to personal injury, bodily injury (including without limitation wrongful death and disability), property damage or loss or damage of any other kind, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the prize, or participation in this Contest or any Contest-related activity. SPONSOR MAKES NO GUARANTEES, REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE QUALITY, SUITABILITY OR PERFORMANCE OF THE PRIZE.

    Sponsor assumes no responsibility for lost, stolen, delayed, damaged or misdirected entries or for any failure of the website during the Contest Period, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any other reason, and Sponsor further disclaims any responsibility for any injury or damage to an entrant’s or any other person’s computer related to or resulting from participating or down-loading any material in the Contest. Sponsor reserves the right, in its sole discretion to cancel or suspend this Contest should a virus, bug or other cause beyond the reasonable control of Sponsor corrupt the security or proper administration of the contest. Any attempt to deliberately damage any web site or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. Entries are subject to verification and will be declared invalid if they are illegible, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way.

  8. Without limiting any other right retained herein, Cisco reserves the right, in its sole discretion, to cancel or suspend the Program without prior notice should a force major event, virus, bugs, unauthorized human intervention, or other similar or dissimilar cause beyond the control of Cisco, in Cisco's sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Program.

  9. Quebec Residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

  10. Winner List: To obtain the names of winners, send an e-mail to support@ca.cisco-arm.com with the subject line: “Cisco ARM Service Incentive Program Canadian Winners”. Request must be received by July 31, 2007, limit one request per person, or partner.


  1. Program Overview: Cisco has a practice of making a limited amount of joint marketing funds (“JMF”) available to Cisco authorized partners. For a period of time, Cisco wants to award this JMF to partners which sell to small to medium sized businesses and which have invested some time to learn about Cisco’s services. Therefore, Cisco has developed the Joint Marketing Fund Opportunity Program (‘Program’) in which certain partners can enter for the opportunity to be evaluated and possibly chosen to receive JMF.

  2. Eligibility: The Program is open only to Cisco Indirect Registered Premier, Silver or Gold partners which purchase from an authorized Canadian Cisco Distributor and which i) have booked with Cisco a minimum of twenty thousand dollars (USD $20,000) of Cisco hardware products or ten thousand dollars (USD $10,000) of Cisco Services between August 1, 2005 and July 31, 2006; ii) have registered on the Cisco ARM Service Incentive Program website at http://www.cisco.com/web/CA/go/arm and received an email confirmation of Partner’s eligibility to participate (“Participant”). Cisco Distributors are eligible to participate. Void where prohibited by law. Cisco Systems, Inc., its affiliates, parents, subsidiaries, and their respective employees, officers, directors, shareholders, representatives, agents, and family members of those employees (spouse, domestic partner, mother, father, grandmother, grandfather, children, siblings and their spouses) and individuals living in the same household of those employees, whether related or not, are not eligible to participate. Persons enrolling their Participant into the Program must be eighteen (18) years of age at the time of enrollment, be an employee of the Participant and enter with the Participant’s permission and on its behalf. Subject to all applicable federal, provincial, and local laws and regulations. All Participants, including without limitation federal, provincial, and local government organizations, are responsible for compliance with any contractual limitations and/or office policies, if any, regarding participation in this Program.

  3. Program Period: Cisco will offer this Program times (4) times, each time a “Program Period”. The first Program Period will begin on or about August 1, 2006 and ends on or about October 31, 2006 (“Program Period”). The second Program Period will begin on or about November 1, 2006 and ends January 31, 2007. The third Program Period will begin on or about February 1, 2007, and end on or about April 30, 2007. The fourth Program Period will begin on or about May 1, 2007, and end on or about July 31, 2007.

  4. To Enter: To enter, each Participant must have a minimum of three (3) sales staff employees enter the Cisco ARM Services Incentive Contest, take at least one (1) of the two (2) contest quizzes and earn a minimum score of ninety percent (90%) on that quiz (90% means at least nine (9) of the ten (10) quiz questions were answered correctly). Upon submitting a quiz, the sales staff employee will be notified of the quiz score and the sales staff employee can then take one or both quizzes as many times has he/she would like during a program period to reach the ninety percent (90%) score. Participant can track its progress towards meeting the entry requirements by the email it receives each time a sales staff employee completes a quiz and by using the Wed-based reporting tool located on the ARM Services Incentive Program website.

  5. Award: All participants who successfully enter the Program will be eligible for consideration for Joint Marketing Funds. (Cisco will then evaluate these successful Participants using Cisco’s standard internal process and criteria determining JMF recipients.)

  6. General Conditions: Participants release and agree to hold harmless the Cisco and its contractors from any and all liabilities for any injuries including but not limited to personal injury, bodily injury (including without limitation wrongful death and disability), property damage, or loss or damage of any other kind, arising in whole in part, directly or indirectly, from participation in this Program or any Program related activity.

  7. General Terms

    Cisco reserves the right to modify, postpone or terminate the Program at any time in its sole discretion and without prior notice. Any notice of such modification, postponement or termination will be posted at http://www.cisco.com/web/CA/go/arm. After termination, and if reasonably commercially reasonable efforts to consider JMF for Participants which met the Program requirements.

  8. Without limiting any other right retained herein, Cisco reserves the right, in its sole discretion, to cancel or suspend the Program without prior notice should a force major event, virus, bugs, unauthorized human intervention, or other similar or dissimilar cause beyond the control of Cisco, in Cisco's sole opinion, corrupt the administration, security, fairness, integrity, or proper operation of the Program.

  9. All information submitted for this Program becomes the property of Cisco and will not be returned.

  10. All decisions by Cisco and its designated representatives are final.

  11. If any provision of these Terms and Conditions, or the application of any provision to any Participant or circumstance, is held invalid, the remainder of these Terms and Conditions, and the application of the provision other than to the extent it is held invalid, will not be invalidated or affected.

  12. Availability of joint marketing funding is restricted to a limited number of partners participating on a regional basis. Participation is approved based on a first-come, first-served basis and is subject to regional Cisco sales management discretion.

  13. Cisco reserves the right to modify or cancel the program at its discretion without prior notice to channel partners.

  14. In addition to any of its other remedies, Cisco reserves the right to terminate a partner from participating in this program for the following reasons: (a) submission of false, misleading, or incomplete program information, including claims for sales made under the program; (b) other fraud or abuse of this or other Cisco marketing or sales programs; (c) the distribution of products purchased from any source other than Cisco or an authorized Cisco distributor; and (d) the sale of Cisco product or services to anyone other than the end user.
