Software License Agreement

THIS AGREEMENT IS AVAILABLE IN LANGUAGES OTHER THAN ENGLISH; PLEASE SEE YOUR CISCO SYSTEMS, INC. ("CISCO") RESELLER OR VISIT OUR WEB SITE.

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE DOWNLOADING, INSTALLING OR USING CISCO OR CISCO-SUPPLIED SOFTWARE.

BY DOWNLOADING OR INSTALLING THE SOFTWARE, OR USING THE EQUIPMENT THAT CONTAINS THIS SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, THEN (A) DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE, AND (B) YOU MAY RETURN THE SOFTWARE FOR A FULL REFUND, OR, IF THE SOFTWARE IS SUPPLIED AS PART OF ANOTHER PRODUCT, YOU MAY RETURN THE ENTIRE PRODUCT FOR A FULL REFUND. YOUR RIGHT TO RETURN AND REFUND EXPIRES 30 DAYS AFTER PURCHASE FROM CISCO OR AN AUTHORIZED CISCO RESELLER, AND APPLIES ONLY IF YOU ARE THE ORIGINAL PURCHASER.

The following terms govern your use of the Software except to the extent a particular program (a) is the subject of a separate written agreement with Cisco or (b) includes a separate "click-on" license agreement as part of the installation and/or download process. To the extent of a conflict between the provisions of the foregoing documents, the order of precedence shall be (1) the written agreement, (2) the click-on agreement, and (3) this agreement.

PART I: TE RMS AND CONDITIONS APPLICABLE TO CISCO PROVIDED SOFTWARE:

License. Subject to the terms and conditions of and except as otherwise provided in this Agreement, Cisco Systems, Inc. ("Cisco") and its suppliers grant to Customer ("Customer") a nonexclusive and nontransferable license to use the specific Cisco program modules, feature set(s) or feature(s) for which Customer has paid the required license fees (the "Software"), in object code form only. In addition, the foregoing license shall also be subject to each of the following limitations:

Unless otherwise expressly provided in the documentation, Customer shall use the Software solely as embedded in, for execution on, or (where the applicable documentation permits installation on non-Cisco equipment) for communication with Cisco equipment owned or leased by Customer;

Customer's use of the Software shall be limited to use on a single hardware chassis, on a single central processing unit, as applicable, or use on such greater number of chassis or central processing units as Customer may have paid Cisco the required license fee; and

Customer's use of the Software shall also be limited, as applicable and set forth in Customer's purchase order or in Cisco's product catalog, user documentation, or web site, to a maximum number of (a) seats (i.e. users with access to the installed Software), (b) concurrent users, sessions, ports, and/or issued and outstanding IP addresses, and/or (c) central processing unit cycles or instructions per second. Customer's use of the Software shall also be limited by any other restrictions set forth in Customer's purchase order or in Cisco's product catalog, user documentation or web site for the Software.


Note For evaluation or beta copies for which Cisco does not charge a license fee, the above requirement to pay a license fee does not apply.


General Limitations. Except as otherwise expressly provided under this Agreement, Customer shall have no right, and Customer specifically agrees not to:

(i) transfer, assign or sublicense its license rights to any other person, or use the Software on unauthorized or secondhand Cisco equipment, and any such attempted transfer, assignment or sublicense shall be void;

(ii) make error corrections to or otherwise modify or adapt the Software or create derivative works based upon the Software, or to permit third parties to do the same; or

(iii) decompile, decrypt, reverse engineer, disassemble or otherwise reduce the Software to human-readable form to gain access to trade secrets or confidential information in the Software.

To the extent required by law, at Customer's request, Cisco shall provide Customer with the interface information needed to achieve interoperability between the Software and another independently created program, on payment of Cisco's applicable fee. Customer shall observe strict obligations of confidentiality with respect to such information.

Upgrades and Additional Copies. For purposes of this Agreement, "Software" shall include (and the terms and conditions of this Agreement shall apply to) any upgrades, updates, bug fixes or modified versions (collectively, "Upgrades") or backup copies of the Software licensed or provided to Customer by Cisco or an authorized distributor for which Customer has paid the applicable license fees. NOTWITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT: (1) CUSTOMER HAS NO LICENSE OR RIGHT TO USE ANY SUCH ADDITIONAL COPIES OR UPGRADES UNLESS CUSTOMER, AT THE TIME OF ACQUIRING SUCH COPY OR UPGRADE, ALREADY HOLDS A VALID LICENSE TO THE ORIGINAL SOFTWARE AND HAS PAID THE APPLICABLE FEE FOR THE UPGRADE; (2) USE OF UPGRADES IS LIMITED TO CISCO EQUIPMENT FOR WHICH CUSTOMER IS THE ORIGINAL END USER PURCHASER OR LESSEE OR WHO OTHERWISE HOLDS A VALID LICENSE TO USE THE SOFTWARE WHICH IS BEING UPGRADED; AND (3) USE OF ADDITIONAL COPIES IS LIMITED TO BACKUP PURPOSES ONLY.

Proprietary Notices. Customer agrees to maintain and reproduce all copyright and other proprietary notices on all copies, in any form, of the Software in the same form and manner that such copyright and other proprietary notices are included on the Software. Except as expressly authorized in this Agreement, Customer shall not make any copies or duplicates or any Software without the prior written permission of Cisco. Customer may make such backup copies of the Software as may be necessary for Customer's lawful use, provided Customer affixes to such copies all copyright, confidentiality, and proprietary notices that appear on the original.

Protection of Information. Customer agrees that aspects of the Software and associated documentation, including the specific design and structure of individual programs, constitute trade secrets and/or copyrighted material of Cisco. Customer shall not disclose, provide, or otherwise make available such trade secrets or copyrighted material in any form to any third party without the prior written consent of Cisco. Customer shall implement reasonable security measures to protect such trade secrets and copyrighted material. Title to Software and documentation shall remain solely with Cisco.

Limited Warranty. If Customer obtained the Software directly from Cisco, then Cisco warrants that during the Warranty Period (as defined below): (i) the media on which the Software is furnished will be free of defects in materials and workmanship under normal use; and (ii) the Software will substantially conform to its published specifications. The "Warranty Period" means a period beginning on the date of Customer's receipt of the Software and ending on the later of
(a) ninety (90) days from the date of initial shipment of the Software by Cisco, or (b) the end of the minimum period required by the law of the applicable jurisdiction. The limited warranties extend only to Customer as the original licensee. Customer's sole and exclusive remedy and the entire liability of Cisco and its suppliers under these limited warranties will be, at Cisco or its service center's option, repair, replacement, or refund of the Software if reported (or, upon request, returned) to Cisco or its designee. Except as expressly granted in this Agreement, the Software is provided AS IS. Cisco does not warrant that the Software is error free or that Customer will be able to operate the Software without problems or interruptions. In addition, due to the continual development of new techniques for intruding upon and attacking networks, Cisco does not warrant that the Software or any equipment, system or network on which the Software is used will be free of vulnerability to intrusion or attack.

This warranty does not apply if the Software (a) is licensed for beta, evaluation, testing or demonstration purposes for which Cisco does not receive a license fee, (b) has been altered, except by Cisco, (c) has not been installed, operated, repaired, or maintained in accordance with instructions supplied by Cisco, (d) has been subjected to abnormal physical or electrical stress, misuse, negligence, or accident, or (e) is used in ultrahazardous activities.

If Customer obtained the Software from a Cisco reseller, the terms of any warranty shall be as provided by such distributor, and Cisco provides Customer no warranty with respect to such Software.

Disclaimer of Warranties. EXCEPT AS SPECIFIED IN THIS WARRANTY, ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, SATISFACTORY QUALITY OR ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE, ARE HEREBY EXCLUDED TO THE EXTENT ALLOWED BY APPLICABLE LAW. TO THE EXTENT AN IMPLIED WARRANTY CANNOT BE EXCLUDED, SUCH WARRANTY IS LIMITED IN DURATION TO THE WARRANTY PERIOD. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.

Disclaimer of Liabilities. IN NO EVENT WILL CISCO OR ITS SUPPLIERS BE LIABLE FOR ANY LOST REVENUE, PROFIT, OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE EVEN IF CISCO OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall Cisco's or its suppliers' liability to Customer, whether in contract, tort (including negligence), or otherwise, exceed the price paid by Customer. The foregoing limitations shall apply even if the above-stated warranty fails of its essential purpose. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Term and Termination. This Agreement is effective until terminated. Customer may terminate this Agreement at any time by destroying all copies of Software including any documentation. Customer's license rights under this Agreement will terminate immediately without notice from Cisco if Customer fails to comply with any provision of this Agreement. Upon termination, Customer must destroy all copies of Software in its possession or control.

Customer Records. Customer grants to Cisco and its independent accountants the right to examine Customer's books, records and accounts during Customer's normal business hours to verify compliance with this Agreement. In the event such audit discloses non-compliance with this Agreement, Customer shall promptly pay to Cisco the appropriate licensee fees.

Export. Software, including technical data, may be subject to U.S. export control laws, including the U.S. Export Administration Act and its associated regulations, and may be subject to export or import regulations in other countries. Customer agrees to comply strictly with all such regulations and acknowledges that it has the responsibility to obtain licenses to export, re-export, or import Software.

Restricted Rights. Cisco's commercial software and commercial computer software documentation is provided to United States Government agencies in accordance with the terms of this Agreement, and per subparagraph "(c)" of the "Commercial Computer Software - Restricted Rights" clause at FAR 52.227-19 (June 1987). For DOD agencies, the restrictions set forth in the "Technical Data-Commercial Items" clause at DFARS 252.227-7015 (Nov. 1995) shall also apply.

General. This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, as if performed wholly within the state and without giving effect to the principles of conflict of law. If any portion hereof is found to be void or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect. Cisco hereby specifically disclaims the UN Convention on Contracts for the International Sale of Goods. Except as expressly provided herein, this Agreement constitutes the entire agreement between the parties with respect to the license of the Software and supersedes any conflicting or additional terms contained in the purchase order.

PART II: ADDITIONAL TERMS AND CONDITIONS APPLICABLE TO MICROSOFT WINDOWS 2000 PROFESSIONAL AND WINDOWS 2000 SERVER:

"SOFTWARE" shall include Windows 2000 Professional or Windows 2000 Server as applicable, "you" means the purchaser or end user of the equipment and/or Software.

Refund. If you do not agree to the terms of this End User License Agreement ("EULA"), Cisco and Microsoft Licensing, Inc. ("MS") are unwilling to license the SOFTWARE to you. In such event, you may not use or copy the SOFTWARE, and you should promptly contact Cisco for instructions on return of the unused product(s) in accordance with Cisco's return policies.

<<Windows 2000 Professional Only. You may permit a maximum of ten (10) electronic client devices to connect to a single system (equipment) to access and use services of the SOFTWARE. The ten-connection maximum includes any indirect connections made through software or hardware which pools or aggregates connections.>>

<<Windows 2000 Server Only Client Access Licenses. A Microsoft Windows 2000 client access license ("CAL") is required for each electronic client device ("Device") that is used by an "Authenticated User" or that uses "Windows 2000 Server Services" regardless of what software you use, provided however, a CAL is not required for a client user who accesses the single system (equipment) as an Authenticated User to conduct activities in direct support of the Software installed on the single system (equipment), e.g., update a client user's profile or configuration. CALs that you acquire from Cisco may be used only in conjunction with the SOFTWARE. The SOFTWARE includes five (5) CALs.

Definitions:

"Authenticated User" is a user who directly or indirectly utilizes the Windows 2000 Server Integrated Sign-On Service or receives credentials from the Windows 2000 Directory Services.

"Windows 2000 Server Services" include File Services (accessing or managing files or disk storage), Printing Services (printing to a printer managed by the SOFTWARE), and Remote Access Service (accessing the Server from a remote location through a communications link, including a virtual private network).

Version Matching. Any CAL must have the same or later version number than the corresponding version of the Microsoft operating system software product included in the SOFTWARE.

Administration. You do not need a CAL for administration of the SOFTWARE (including remote administration) for a reasonable number of connections to the single system (equipment).

Deploying CALs. You may deploy CALs in either "Per Seat" or "Per Server" mode.

In "Per Seat," you need a separate CAL for each unique Device that accesses or utilizes the SOFTWARE, as described above. If you choose Per Seat, your choice is permanent.

In "Per Server," the maximum number of Devices which may access or utilize the SOFTWARE at a given point in time equals the number of CALs that you acquire and designate for use exclusively with the single system (equipment). You have the one-time right to change your use of the SOFTWARE to Per Seat, and if you do so, you may apply any CALs you acquired for use in Per Server to an equal number of Devices for use in Per Seat.) >>

<<Windows 2000 Server Only. You are not licensed to use the "Terminal Services" or "IntelliMirror" functionalities of Windows 2000, except that a reasonable number of authorized systems administrators may use "Terminal Services" functionality solely for the purpose of remote administration of the single system (equipment). "Terminal Services" means the terminal services feature of Windows 2000, and "IntelliMirror" means the IntelliMirror™ management technologies of Windows 2000.>>

No Multiplexing.

<<Windows 2000 Server Only. Hardware or software that reduces the number of Devices directly accessing or using the SOFTWARE on the single system (equipment) does not reduce the number of CALs you need. The number you need is based on the number of distinct inputs to the hardware or software "front end.">>

If you use the single system (equipment) to access or utilize the services or functionality of a computer system running other software (e.g., Microsoft Windows 2000 Server, Microsoft Exchange Server) or use the single system (equipment) to permit electronic client devices to access or utilize the services or functionality of such other software, you may be required to obtain additional licenses for the single system (equipment) and/or each such device. Please refer to the end user license agreement accompanying such other software for additional information.

No Warranties. EXCEPT AS EXPRESSLY PROVIDED IN THE LIMITED WARRANTY SECTION ABOVE, THE SOFTWARE IS PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, AND/OR FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK OF THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

No Liability for Damages. CISCO AND CISCO'S SOFTWARE SUPPLIERS SHALL NOT BE HELD TO ANY LIABILITY FOR ANY DAMAGES SUFFERED OR INCURRED BY YOU (INCLUDING, BUT NOT LIMITED TO, GENERAL, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION AND THE LIKE), ARISING FROM OR IN CONNECTION WITH THE DELIVERY, USE OR PERFORMANCE OF THE SOFTWARE.

Additional Software. Any additional software provided to you by Cisco, MS and/or Microsoft Corporation that updates or supplements the original SOFTWARE provided by Cisco is governed by the terms and conditions that apply to the original SOFTWARE, unless other terms are provided with such update or supplement.

Limitations on Reverse Engineering, Decompilation and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

Separation of Components. The SOFTWARE is licensed as a single product. Its component parts may not be separated for use on more than one single system (equipment).

Single Embedded System. The SOFTWARE is licensed with the single system (equipment) as a single integrated product. The SOFTWARE may only be used as installed on the single system (equipment) as set forth in these licensing terms.

Rental. You may not rent, lease or lend the SOFTWARE.

SOFTWARE Transfer. You may permanently transfer all of your rights set forth in these licensing terms only as part of a permanent sale or transfer of the single system (equipment), provided Cisco consents to such transfer, you retain no copies, you transfer all of the SOFTWARE (including all component parts, the media and printed materials, any upgrades, these licensing terms, and, if applicable, the Certificate(s) of Authenticity), and the recipient agrees to these licensing terms. If the SOFTWARE is an upgrade, any transfer must also include all versions of any software that formed the basis of your upgrade eligibility.

Back-up Copy. If Cisco has not included a back-up copy of the SOFTWARE with the single system (equipment), you may make a single back-up copy of the SOFTWARE. You may use the back-up copy solely for archival purposes. Except as expressly provided in these licensing terms, you may not otherwise make copies of the SOFTWARE, including the printed materials accompanying the SOFTWARE.

NOT FAULT TOLERANT. THE SOFTWARE CONTAINS TECHNOLOGY THAT IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED, OR INTENDED FOR USE IN ENVIRONMENTS OR APPLICATIONS IN WHICH THE FAILURE OF THE SOFTWARE COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE, INCLUDING WITHOUT LIMITATION, AIRCRAFT NAVIGATION OR AIRCRAFT COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, OR WEAPONS SYSTEMS.

Termination. Without prejudice to any other rights, Cisco may terminate this license if you fail to comply with the licensing terms. In such event, you must destroy all copies of the SOFTWARE and all of its component parts.

Note on Java Support. The SOFTWARE may contain support for programs written in Java. Java technology is not fault tolerant and is not designed, manufactured, or intended for use or resale as online control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of Java technology could lead directly to death, personal injury, or severe physical or environmental damage. Sun Microsystems, Inc. has contractually obligated Microsoft Corporation to make this disclaimer.

Consent to Use of Data. You agree that Cisco, MS and/or Microsoft Corporation (and/or their subsidiaries, affiliates and agents) may collect and use technical information you provide as a part of support services related to the SOFTWARE. Cisco, MS and Microsoft Corporation (and/or their subsidiaries, affiliates and agents) agree not to use this information in a form that personally identifies you.

EXPORT RESTRICTIONS.

Export-Restricted Encryption. You acknowledge that SOFTWARE is of US-origin. You agree to comply with all applicable international and national laws that apply to the SOFTWARE, including the U.S. Export Administration Regulations, as well as end-user, end-use and country destination restrictions issued by U.S. and other governments. For additional information on exporting the SOFTWARE, see http://www.microsoft.com/exporting/.

PART III: ADDITIONAL TERMS AND CONDITIONS APPLICABLE TO MICROSOFT WINDOWS NT WORKSTATION AND WINDOWS NT SERVER:

"SOFTWARE" includes either Microsoft Windows NT Workstation or Windows NT Server as applicable, "you" refers to the purchaser or end user of the equipment and/or Software.

Refund. If you do not agree to the terms of this EULA, Cisco and MS are unwilling to license the SOFTWARE to you. In such event, you may not use or copy the Licensed Product, and you should promptly contact Cisco for instructions on return of the unused product(s) in accordance with Cisco's return policies.

Client Access Licenses. If you use the single system (equipment) to access or utilize the services or functionality of a computer system running other software (e.g., Microsoft Windows NT Server, Microsoft Exchange Server) or use the single system (equipment) to permit electronic client devices to access or utilize the services or functionality of such other software, you may be required to obtain additional licenses for the single system (equipment) and/or each such device. Please refer to the end user license agreement accompanying such other software for additional information.

No Warranties. EXCEPT AS EXPRESSLY PROVIDED IN THE LIMITED WARRANTY SECTION ABOVE, THE SOFTWARE IS PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, AND/OR FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK OF THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

No Liability for Damages. CISCO AND CISCO'S SOFTWARE SUPPLIERS SHALL NOT BE HELD TO ANY LIABILITY FOR ANY DAMAGES SUFFERED OR INCURRED BY YOU (INCLUDING, BUT NOT LIMITED TO, GENERAL, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION AND THE LIKE), ARISING FROM OR IN CONNECTION WITH THE DELIVERY, USE OR PERFORMANCE OF THE SOFTWARE.

Additional Software. Any additional software provided to you by Cisco, MS and/or Microsoft Corporation that updates or supplements the original SOFTWARE provided by Cisco is governed by the terms and conditions that apply to the original SOFTWARE, unless other terms are provided with such update or supplement.

Limitations on Reverse Engineering, Decompilation and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

Separation of Components. The SOFTWARE is licensed as a single product. Its component parts may not be separated for use on more than one single system (equipment).

Single Embedded System. The SOFTWARE is licensed with the single system (equipment) as a single integrated product. The SOFTWARE may only be used as installed on the single system (equipment) as set forth in these licensing terms.

Rental. You may not rent, lease or lend the SOFTWARE.

SOFTWARE Transfer. You may permanently transfer all of your rights set forth in these licensing terms only as part of a permanent sale or transfer of the single system (equipment), provided Cisco consents to such transfer, you retain no copies, you transfer all of the SOFTWARE (including all component parts, the media and printed materials, any upgrades, these licensing terms, and, if applicable, the Certificate(s) of Authenticity), and the recipient agrees to these licensing terms. If the SOFTWARE is an upgrade, any transfer must also include all versions of any software that formed the basis of your upgrade eligibility.

Back-up Copy. If Cisco has not included a back-up copy of the SOFTWARE with the single system (equipment), you may make a single back-up copy of the SOFTWARE. You may use the back-up copy solely for archival purposes. Except as expressly provided in these licensing terms, you may not otherwise make copies of the SOFTWARE, including the printed materials accompanying the SOFTWARE.

NOT FAULT TOLERANT. THE SOFTWARE CONTAINS TECHNOLOGY THAT IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED, OR INTENDED FOR USE IN ENVIRONMENTS OR APPLICATIONS IN WHICH THE FAILURE OF THE SOFTWARE COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE, INCLUDING WITHOUT LIMITATION, AIRCRAFT NAVIGATION OR AIRCRAFT COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, OR WEAPONS SYSTEMS.

Termination. Without prejudice to any other rights, Cisco may terminate this license if you fail to comply with the licensing terms. In such event, you must destroy all copies of the SOFTWARE and all of its component parts.

Note on Java Support. The SOFTWARE may contain support for programs written in Java. Java technology is not fault tolerant and is not designed, manufactured, or intended for use or resale as online control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of Java technology could lead directly to death, personal injury, or severe physical or environmental damage. Sun Microsystems, Inc. has contractually obligated Microsoft Corporation to make this disclaimer.

Consent to Use of Data. You agree that Cisco, MS and/or Microsoft Corporation (and/or their subsidiaries, affiliates and agents) may collect and use technical information you provide as a part of support services related to the SOFTWARE. Cisco, MS and Microsoft Corporation (and/or their subsidiaries, affiliates and agents) agree not to use this information in a form that personally identifies you.

EXPORT RESTRICTIONS.

Export-Restricted Encryption. You acknowledge that SOFTWARE is of US-origin. You agree to comply with all applicable international and national laws that apply to the SOFTWARE, including the U.S. Export Administration Regulations, as well as end-user, end-use and country destination restrictions issued by U.S. and other governments. For additional information on exporting the SOFTWARE, see http://www.microsoft.com/exporting/.

PART IV: ADDITIONAL TERMS AND CONDITIONS APPLICABLE TO MICROSOFT SQL AND/OR MICROSOFT EXCHANGE:

MICROSOFT® EXCHANGE Server, Version 5.5, Standard Edition, or MICROSOFT® SQL Server, Version 7.0, Standard Edition

Runtime Restricted Use Software

Number of Client Access Licenses: Customer's use of the Software shall also be limited, as applicable and set forth in Customer's purchase order or in Cisco's product catalog, user documentation, or web site, to a maximum number of
(a) seats (i.e. users with access to the installed Software), (b) concurrent users, sessions, ports, and/or issued and outstanding IP addresses, and/or (c) central processing unit cycles or instructions per second. Customer's use of the Software shall also be limited by any other restrictions set forth in Customer's purchase order or in Cisco's product catalog, user documentation or web site for the Software.


END-USER LICENSE AGREEMENT FOR MICROSOFT SOFTWARE

IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and the manufacturer ("Manufacturer") of the special purpose computer system or computing device ("SYSTEM") on which is installed the Microsoft software product(s) identified above ("SOFTWARE PRODUCT" or "SOFTWARE"). The SOFTWARE PRODUCT includes computer software, the associated media, any printed materials, and any "online" or electronic documentation. By installing, copying, downloading, accessing or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, Manufacturer and Microsoft Licensing, Inc. ("MS") are unwilling to license the SOFTWARE PRODUCT to you.

In such event, you may not use or copy the SOFTWARE PRODUCT, and you should promptly contact Manufacturer for instructions on return of the unused product(s) for a refund.


SOFTWARE PRODUCT LICENSE

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE. Provided that you comply with all terms and conditions of this EULA, this EULA grants you the following rights to the SOFTWARE PRODUCT:

Types of Software. The SOFTWARE PRODUCT contains some or all of the following types of software: "Server Software" that provides services or functionality on a single computer acting as a server (and the single SYSTEM running the Server Software shall also be referred to herein as the "Server"); and "Client Software" that allows a computer, workstation, terminal, handheld PC, pager, telephone, "smart phone" or other digital electronic device (each of the foregoing a "Device") to access or utilize the services or functionality provided by the Server Software; and may also include "Connector Software" that enables a SYSTEM running Microsoft Exchange Server to communicate with other servers running Microsoft Exchange Server or other electronic mail server software. Several copies of the Server Software and the Connector Software (applicable to Microsoft Exchange Server only), each of which is compatible with a different microprocessor architecture (such as the x86 architecture or various RISC architectures), may be provided.

Installation - Server Software. At any given time, you may install one (1) copy of the Server Software for only one of those architectures on the SYSTEM. Client Software. You may install the Client Software on any Device. Connector Software. You may install one (1) copy of the Connector Software, if included in this Software Product, on one (1) Server running Microsoft Exchange Server. The media on which the Server Software and the Connector Software reside may contain several copies of the Server Software and the Connector Software, each of which is compatible with a different microprocessor architecture (such as the x86 architecture or various RISC architectures). You may install the Server Software and the Connector Software for use with only one of those architectures.

Client Access Licenses. This EULA grants you the number of Client Access Licenses for the SOFTWARE PRODUCT indicated at the top of this EULA. Each Client Access License permits one additional Device licensed in the Per Seat Mode (described below), or one additional Device licensed in the Per Server Mode (described below), the right to access or otherwise utilize the services or functionality of that Server. The services or functionality of the Server are considered to be accessed or utilized when there is a direct or indirect connection between a Device and the Server Software running on the SYSTEM. Each Client Access License must be dedicated to one unique Device. Each Client Access License permits you to access or otherwise utilize the services or functionality of Server Software with the same (or a lower) version number to the left of the decimal point as the Server Software version number listed above (for example, if the version number listed above is "3.5," you may access or utilize Server Software that contains a "3.6" or "2.0" version number, but not a "4.0" version number).

Use of the Server Software. You may use one (1) copy of the Server Software on the Server. You must acquire a separate Client Access License for each unique Device which accesses or otherwise utilizes the services or functionality of the Server Software, whether you use the Client Software or any other software to do so, unless otherwise noted in this EULA. This is known as using the Server Software in the "Per Seat Mode." However, you may elect to use the Server Software for Microsoft SQL Server in "Per Server Mode" as defined below. If you choose Per Seat Mode, your choice is permanent. If you initially choose Per Server Mode, you have the right to change one time only to Per Seat Mode, so long as you acquire a Client Access License for each unique Device accessing or utilizing the services or functionality of the Server Software, and then this choice is permanent.

Alternate Terms. If You Elect to Use the Server Software for Microsoft SQL Server in Per Server Mode. In "Per Server Mode," the maximum number of Devices that may access or otherwise utilize the services or functionality of the Server Software at a given point in time is equal to the number of Client Access Licenses which you have acquired and designated for use exclusively with that Server. Devices to which a Client Access License has been designated may also access the Server Software running in the "Per Server Mode," provided the additional access is within that Server's maximum licensed capacity. If you elect to change from Per Server Mode to Per Seat Mode, you may transfer any Client Access Licenses you acquired for use in Per Server Mode to an equal number of Devices in Per Seat Mode.

Use of the Connector Software. If you choose to make the Connector Software a usable feature on a Microsoft Exchange Server, you must also acquire a separate license or licenses (whether as part of the license for Microsoft Exchange Server or as a separate license for the Connector Software) to install and/or use the Connector Software on every other Microsoft Exchange Server in the same "Microsoft Exchange Organization. A "Microsoft Exchange Organization" is the group of all Microsoft Exchange Servers with the same organization name specified during the Microsoft Exchange Server installation process for the express purpose of connecting the servers.

Use of the Client Software. You may use the Client Software on any Device connected to the Server to configure and administer the Server and subject to the additional terms and conditions noted in this EULA. If you use the Client Software to access or otherwise utilize the services or functionality of the Server Software running on the Server, you must acquire a separate Client Access License unless otherwise noted in this EULA. If you use the Client Software to access non-Microsoft server software, you do not need to acquire a separate Client Access License unless otherwise noted in this EULA.

Not For Resale Software. If this SOFTWARE PRODUCT is labeled "For Demonstration Purposes," "Not For Resale" or "NFR," then, not withstanding Section 1 of this EULA, your use of the SOFTWARE PRODUCT is limited to demonstration, test, or evaluation purposes and you may not resell or otherwise transfer for value, the SOFTWARE PRODUCT.

Back-up Copy. If Manufacturer has not included a back-up copy of the SOFTWARE PRODUCT with the SYSTEM, you may make a single back-up copy of the SOFTWARE PRODUCT. You may use the back-up copy solely for archival purposes.

Single SYSTEM. The SOFTWARE PRODUCT is licensed with the SYSTEM as a single integrated product. The SOFTWARE PRODUCT may only be used with the SYSTEM, except as expressly provided in this EULA.

No "Multiplexing" or "Pooling." Use of software or hardware that reduces the number of Devices directly accessing or utilizing the Server Software (sometimes called "multiplexing" or "pooling" software or hardware) does not reduce the number of Client Access Licenses required; the required number of Client Access Licenses would equal the number of distinct inputs to the multiplexing or pooling software or hardware "front end."

Storage/Network Use. If the SOFTWARE PRODUCT is installed on the SYSTEM over an internal network from a server, you must acquire and dedicate a license for the SOFTWARE PRODUCT for each SYSTEM on which the SOFTWARE PRODUCT is used or to which it is distributed. A license for the SOFTWARE PRODUCT may not be shared or used concurrently on different SYSTEMS.

Additional Software. Any Microsoft software provided to you which updates or supplements the original SOFTWARE PRODUCT is governed by this EULA, unless other terms of use are provided with such updates or supplements. Any software provided to you along with the SOFTWARE PRODUCT that is associated with a separate end-user license agreement is licensed to you under the terms of that license agreement, except if this EULA specifically sets forth the terms of use for such software then the terms set forth in this EULA shall apply. Notwithstanding the foregoing, if any of the Server Software components of the SOFTWARE PRODUCT contain a Server License for Microsoft Server Products, the terms and conditions of this EULA shall supersede the terms and conditions of such Server License(s).

Reservation of Rights. All rights not expressly granted under this EULA are reserved by MS and its suppliers (including Microsoft Corporation).

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

For all SOFTWARE PRODUCTS. Transfer. You may permanently transfer all of your rights under this EULA only as part of a sale or transfer of the SYSTEM, provided you retain no copies, you transfer all of the SOFTWARE PRODUCT (including all component parts, the media and printed materials, any upgrades, this EULA and, if applicable, the Certificate(s) of Authenticity), and the recipient agrees to the terms of this EULA. If the SOFTWARE PRODUCT is an upgrade, any transfer must include all prior versions of the SOFTWARE PRODUCT. Rental. You may not rent, lease or lend the SOFTWARE PRODUCT. Notice to Users. You shall inform all users of the SOFTWARE PRODUCT of the terms and conditions of this EULA. Limitation on Reverse Engineering, Decompilation and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Performance or Benchmark Testing. You may not disclose the results of any benchmark test of either the Server Software or Client Software for Microsoft SQL Server, Microsoft Exchange Server, or Microsoft Proxy Server to any third party without MS' prior written approval. Version Limitation. The Server Software contains a certain version number (such as version "3.5"). This EULA permits you to install one (1) copy of the Server Software with the same (or a lower) version number as the Server Software version number listed above on a single SYSTEM (for example, if the version number listed above is "3.5," you may install Server Software that contains a "3.5" or "2.0" version number, but not a "3.6" version number). Termination. Without prejudice to any other rights, Manufacturer and/or MS may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts. Consent to Use of Data. With respect to technical information you provide to Manufacturer, MS and/or Microsoft Corporation (and/or their subsidiaries, affiliates and agents) as part of any (if any) support services related to the SOFTWARE PRODUCT ("Support Services"), you agree that Manufacturer, MS and/or Microsoft Corporation (and/or their subsidiaries, affiliates and agents) may collect, process and use such information for its business purposes, including for product support and development. Manufacturer, MS and/or Microsoft Corporation will not utilize such technical information in a form that personally identifies you. Application Sharing Technology. The SOFTWARE PRODUCT may contain technology that enables applications to be shared between two or more computers, even if an application is installed on only one of the computers. You may use this technology with all Microsoft application products for multi-party conferences. For non-Microsoft applications, you should consult the accompanying license agreement or contact the licensor to determine whether application sharing is permitted by the licensor. Note Regarding Runtime-Restricted Use Software. If the SOFTWARE PRODUCT is "Runtime-Restricted Use" software, it may only be used to run the integrated software turnkey application installed on the SYSTEM by Manufacturer.

For Microsoft SQL Server (all editions). If the SOFTWARE PRODUCT includes Microsoft SQL Server, the following additional rights and restrictions apply. Client Access: You do not need a Client Access License in order for a Microsoft SQL Server or Microsoft SQL Server, Enterprise Edition to solely interact with another Microsoft SQL Server or Microsoft SQL Server, Enterprise Edition. Note Regarding Interaction between Microsoft SQL Server and Microsoft Data Engine ("MSDE"): If you use MSDE to access or use the services of Microsoft SQL Server (for example, replication, data transformation or heterogeneous query services), you must use Microsoft SQL Server in Per Seat Mode (that is, each unique Device accessing SQL Server must have a Client Access License dedicated to it). Note Regarding Use of SQL Server Desktop: You may only install and use the SQL Server Desktop component of Microsoft SQL Server on each Device to which a valid Client Access License for the Server Software has been dedicated. If you use SQL Server Desktop to access or use the services of any version of Microsoft SQL Server (for example, replication, data transformation or heterogeneous query services), you must use such Microsoft SQL Server in Per Seat Mode. Note Regarding Use of SQL Server Tools: You may only use the Management Tools, Books-Online, and Development Tools components of Microsoft SQL Server (collectively "Tools") on each Device for which you have a valid Client Access License for the Server Software, provided however, you may use Enterprise Manager for maintenance and/or debugging of the SOFTWARE PRODUCT running on the SYSTEM. Note Regarding the Use of Redistributable Components: You may reproduce and distribute the files listed in the REDIST.TXT file (collectively referred to as "Redistributable Components") provided that you comply with the Distribution Terms listed in such REDIST.TXT file. Note Regarding the Runtime-Version of SQL Server. The runtime version of Microsoft SQL Server may not be used either (a) to develop, and/or (b) in conjunction with, new applications, databases, or tables other than those contained in the integrated software turnkey application installed on the SYSTEM by Manufacturer ("Integrated Application"). Further, you shall not create new database structures or add categories to databases used by the Integrated Application(i.e., all database structures and categories shall be established by the Integrated Application), and all categories and records within the databases shall be directly related to the configuration, setup, operation, maintenance and support of the primary functionality of the Integrated Application. However, you shall have general access to make unrestricted queries of such databases.

Microsoft Exchange Server (all editions). If the SOFTWARE PRODUCT includes Microsoft Exchange Server, the following additional rights and restrictions apply. Connector Software: If applicable, at any time, you may install and use on one Server only one copy of the Connector Software for one of the provided architectures. If you choose to make the Connector Software a usable feature, you must also acquire a separate license or licenses (whether as part of the license for Microsoft Exchange Server or as a separate license for the Connector Software) to install and use the Connector Software on every other Microsoft Exchange Server in the same "Microsoft Exchange Organization." A "Microsoft Exchange Organization" is the group of all Microsoft Exchange Servers with the same organization name specified during the Microsoft Exchange Server installation process for the express purpose of connecting the servers. Client Software: Microsoft Outlook is part of the Microsoft Client Software for Microsoft Exchange Server. You may only install and use Microsoft Outlook on each Device to which a valid Client Access License for any version of Microsoft Exchange Server has been dedicated. Client Access: Each Client Access License for Microsoft Exchange Server may also be used for any other Device that you use less than twenty percent (20%) of your total connection time. The term "total connection time" means the total amount of time that you use Microsoft Client Software (other than the Client Software component of the chat service) to access and otherwise use Microsoft Exchange Server from a Device. You do not need a Client Access License for Microsoft Exchange Server for anonymous access to Microsoft Exchange Server services. Anonymous access occurs when a Device accesses information held in a Microsoft Exchange Server without having a mailbox or custom recipient object which identifies it, and consequently, is not validated by a Windows NT Server domain ID. Note regarding the use of the Sample Applications: This EULA grants you the nonexclusive right to use and modify the source code version of the files designated as sample applications ("Sample Applications"), and to reproduce and distribute the object code versions of such modifications in conjunction with your application that utilizes the services of Microsoft Exchange Server ("Application"). You are granted the foregoing distribution rights provided that you comply with the Distribution Requirements listed below. Note on Outlook Web Access Software. You may customize, reproduce and distribute the Outlook Web Access software ("OWA Software") provided that (a) if you distribute the OWA Software you must comply with subsections (ii) - (v) in the Distribution Requirements for Microsoft Exchange Server Sample Applications paragraph below (substituting "OWA Software" in place of "Applications" and "Redistributables"); and (b) if you use the OWA Software internally and customize it or incorporate it into any other software, you comply with subsection (v) in such below paragraph (similarly revised). Note on Source Extractor, Administrator, and Microsoft Mail Connector: You may install and use the Source Extractor, Administrator and Microsoft Mail Connector components on additional computers. This EULA also grants you the additional right to modify the source code version of the Source Extractor. The Source Extractor may only be used to migrate data to Microsoft Exchange Server.

Microsoft Exchange Server, Standard Edition. Voicemail Runtime Restricted Use.

(i) Except as provided in subsection (ii) below, the SOFTWARE PRODUCT is provided to you as "Voicemail Runtime-Restricted Use" software and solely as an integrated component of a voice messaging system ("Messaging System") that is installed on the SYSTEM, and shall not be used independently or in connection with unified messaging, integrated messaging or e-mail messaging. You may only use the SOFTWARE PRODUCT for purposes of implementing the voicemail storage functionality of the Messaging System to support up to the number of authorized voicemail users indicated at the top of this EULA, and for no other purposes (except as provided in subsection (ii) below). In addition, when you use the SOFTWARE PRODUCT to access Voice Messages (as defined below), such access may only be performed via a Telephone (as defined below). A Voice Message is defined as a stored message that represents the human voice. A Telephone is defined as a device that (a) is able to send and receive a transmission of electrical or digital data representing the human voice, for the primary purpose of voice communication; (b) is able to signal the user's desire to begin and end a connection; (c) is able to send and receive the network address of the destination station to permit routing and connection; and (d) is able to indicate the current state of the device and the connection by means of an audible and/or visual signal. The term "Telephone" also includes voice pagers and teletypewriter terminals intended for use by the hearing impaired, as well a s a dedicated software implementation of a telephone running on a personal computer. If you use this SOFTWARE PRODUCT solely in the manner described in this subsection (i), you are not required to acquire any Exchange Client Access Licenses in order to use the SOFTWARE PRODUCT.

(ii) If you choose to use the SOFTWARE PRODUCT for any purpose other than to implement the voicemail storage functionality of the Messaging System as specified in subsection (i) above, you must acquire separate Exchange Client Access Licenses as specified in Section 1 above for each unique Device which accesses or otherwise utilizes the services or functionality of the Server Software in any manner other than as specified in subsection (i) above. Upon acquisition of such Client Access License(s), your use of this SOFTWARE PRODUCT is subject to the terms and conditions of this EULA (including without limitation, as it relates to Client Software) and the Client Access License(s).

Distribution Requirements for Microsoft Exchange Server Sample Applications. If you distribute object code versions of the Sample Applications (collectively "Redistributables") as provided above, you agree to: (i) distribute the Redistributables only in conjunction with and as a part of your Application; (ii) not use Microsoft's name, logo, or trademarks to market your Application; (iii) include a valid copyright notice in your Application; (iv) include an end-user license agreement with your Application that grants a limited license to use the Redistributables and otherwise protects MS' and its suppliers' (including Microsoft Corporation) intellectual property rights in the Redistributables; and (v) indemnify, hold harmless, and defend MS and its suppliers (including Microsoft Corporation) from and against any claims or lawsuits, including attorneys' fees, that arise or result from the use or distribution of your Application. You shall display any patent or proprietary rights notices on each copy of your Application(s) that contains executables, if and as required in the documentation or other materials provided with the Sample Applications, or subsequently provided to you by Microsoft.

3. UPGRADES. If the SOFTWARE PRODUCT is labeled as an upgrade, you must be properly licensed to use a product identified by Manufacturer, MS or Microsoft Corporation as being eligible for the upgrade in order to use the SOFTWARE PRODUCT ("Eligible Product"). For the purpose of upgrade products only, "SYSTEM" shall mean the computer system with which you received the Eligible Product. A SOFTWARE PRODUCT labeled as an upgrade replaces and/or supplements (and may disable) the Eligible Product which came with the SYSTEM. You may use the resulting upgraded product only in accordance with this EULA and only with the SYSTEM.

4. INTELLECTUAL PROPERTY RIGHTS. All title and intellectual property rights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text and "applets" incorporated into the SOFTWARE PRODUCT), and any copies you are permitted to make herein are owned by MS or its suppliers (including Microsoft Corporation). All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. If this SOFTWARE PRODUCT contains documentation which is provided only in electronic form, you may print one copy of such electronic documentation. You may not copy the printed materials accompanying the SOFTWARE PRODUCT.

5. DUAL-MEDIA SOFTWARE. You may receive the SOFTWARE PRODUCT in more than one medium. Regardless of the type or size of medium you receive, you may use only one medium that is appropriate for the SYSTEM. You may not use or install the other medium on another computer. You may not loan, rent, lease, or otherwise transfer the other medium to another user, except as part of the permanent transfer (as provided above) of the SOFTWARE PRODUCT.

6. EXPORT RESTRICTIONS. Export-Restricted Encryption You acknowledge that SOFTWARE is of US-origin. You agree to comply with all applicable international and national laws that apply to the SOFTWARE, including the U.S. Export Administration Regulations, as well as end-user, end-use and country destination restrictions issued by U.S. and other governments. 7. LIMITED WARRANTY.

No Other Warranties. THE SOFTWARE PRODUCT CONTAINS TECHNOLOGY THAT IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED, OR INTENDED FOR USE IN ENVIRONMENTS OR APPLICATIONS IN WHICH THE FAILURE OF THE SOFTWARE PRODUCT COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE, INCLUDING WITHOUT LIMITATION, AIRCRAFT NAVIGATION OR AIRCRAFT COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, OR WEAPONS SYSTEMS.

9. PRODUCT SUPPORT. Product support for the SOFTWARE PRODUCT is not provided by MS, Microsoft Corporation or their affiliates or subsidiaries. For product support, please refer to Manufacturer's support number provided in the documentation for the SYSTEM.

10. NOTE ON JAVA SUPPORT. THE SOFTWARE PRODUCT MAY CONTAIN SUPPORT FOR PROGRAMS WRITTEN IN JAVA. JAVA TECHNOLOGY IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED, OR INTENDED FOR USE OR RESALE AS ON-LINE CONTROL EQUIPMENT IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, SUCH AS IN THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, DIRECT LIFE SUPPORT MACHINES, OR WEAPONS SYSTEMS, IN WHICH THE FAILURE OF JAVA TECHNOLOGY COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE. Each of the parties hereto irrevocably attorns to the jurisdiction of the courts of the Province of Ontario and further agrees to commence any litigation which may arise hereunder in the courts located in the Judicial District of York, Province of Ontario.

Technical Assistance Center

The Cisco TAC is available to all customers who need technical assistance with a Cisco product, technology, or solution. Two levels of support are available: the Cisco TAC website and the Cisco TAC Escalation Center. The avenue of support that you choose depends on the priority of the problem and the conditions stated in service contracts, when applicable.

We categorize Cisco TAC inquiries according to urgency:

Priority level 4 (P4)—You need information or assistance concerning Cisco product capabilities, product installation, or basic product configuration.

Priority level 3 (P3)—Your network performance is degraded. Network functionality is noticeably impaired, but most business operations continue.

Priority level 2 (P2)—Your production network is severely degraded, affecting significant aspects of business operations. No workaround is available.

Priority level 1 (P1)—Your production network is down, and a critical impact to business operations will occur if service is not restored quickly. No workaround is available.
